Terms of service

You get a fair tool for running your organisation; we get paid for providing it. Treat people's data with care, don't misuse the platform, and either of us can end the agreement with notice. The full legal wording below is what binds us. This summary just helps you read it.

These Terms of Service ("Terms") govern your use of LernaSync, a tutoring management platform operated by WAGMI SOLUTIONS LTD ("LernaSync", "we", "us", or "our").

By accessing or using LernaSync, you agree to be bound by these Terms. If you do not agree, please do not use our platform.

01Definitions

  • "Platform" means the LernaSync tutoring management web application and related services
  • "User" means any person or entity using the Platform
  • "Organization" means a school, tutoring company, or educational institution
  • "Admin" means an authorized administrator within an Organization
  • "Tutor" means an authorized tutor providing educational services
  • "Student" means a learner using the Platform
  • "Parent" means a parent or guardian of a Student
  • "Account" means your registered user account on the Platform
  • "Content" means any data, text, files, or materials uploaded to the Platform

02Acceptance of Terms

2.1Agreement to Terms

By using LernaSync, you confirm that:

  • You have read and understood these Terms
  • You agree to be legally bound by these Terms
  • You have authority to enter into this agreement

2.2Age Requirements

18 and Over: You can create an account and accept these Terms independently.

13-17 Years Old: You may use the Platform, but your parent/guardian must review and agree to these Terms on your behalf.

Under 13: You may use the Platform for educational purposes with parental consent and supervision.

2.3Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

  • Email notification
  • Prominent notice on the Platform
  • Requiring acceptance of new Terms

Continued use of the Platform after changes constitutes acceptance of the new Terms.

03Account Registration and Security

3.1Account Creation

You may receive an account through:

  • Invitation: Your Organization admin invites you
  • Parent Creation: A parent creates a student account

You are responsible for:

  • ✅ Providing accurate information
  • ✅ Maintaining account security
  • ✅ Keeping your password confidential
  • ✅ Notifying us of unauthorized access

3.2Account Security

You must:

  • Use a strong, unique password
  • Not share your login credentials
  • Log out from shared devices
  • Report security breaches immediately to security@lernasync.com

3.3Account Termination

We may suspend or terminate your account if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Required by law
  • Your account has been inactive for an extended period

You may close your account at any time by contacting support@lernasync.com.

04User Roles and Responsibilities

4.1Administrators

Admins have responsibility to:

  • ✅ Manage user accounts within their Organization
  • ✅ Ensure proper safeguarding of student data
  • ✅ Comply with UK data protection laws
  • ✅ Maintain accurate organizational information
  • ✅ Ensure appropriate use by all users in their Organization

Admins must not:

  • ❌ Access accounts without proper authorization
  • ❌ Share sensitive student data inappropriately
  • ❌ Use the Platform for purposes outside the agreed scope

4.2Tutors

Tutors agree to:

  • ✅ Provide educational services professionally
  • ✅ Maintain appropriate boundaries with students
  • ✅ Keep student information confidential
  • ✅ Provide accurate feedback and assessments
  • ✅ Report safeguarding concerns to their Organization

Tutors must not:

  • ❌ Contact students outside the Platform without authorization
  • ❌ Share student data with unauthorized parties
  • ❌ Engage in any form of discrimination or harassment

4.3Students

Students agree to:

  • ✅ Use the Platform for educational purposes
  • ✅ Complete assigned work honestly
  • ✅ Respect tutors and other students
  • ✅ Follow their Organization's code of conduct
  • ✅ Report inappropriate behavior

Students must not:

  • ❌ Plagiarize or cheat on assignments
  • ❌ Share accounts or login credentials
  • ❌ Upload inappropriate content
  • ❌ Harass or bully other users

4.4Parents

Parents may:

  • ✅ View their children's academic progress
  • ✅ Communicate with tutors and admins
  • ✅ Manage their children's privacy settings
  • ✅ Request data about their children

Parents agree to:

  • Respect the confidentiality of other students
  • Not interfere with tutors' professional duties
  • Report concerns through proper channels

05Acceptable Use Policy

You agree to use LernaSync only for lawful educational purposes.

Prohibited Activities:

Illegal Activities: Any activity that violates UK law
Harassment: Bullying, threatening, or harassing others
Harmful Content: Uploading violent, discriminatory, or explicit content
Academic Dishonesty: Plagiarism, cheating, or falsifying work
Unauthorized Access: Attempting to access others' accounts or data
Security Threats: Hacking, spreading malware, or disrupting the Platform
Commercial Use: Using the Platform for unauthorized commercial purposes
Impersonation: Pretending to be another person or organization
Spam: Sending unsolicited messages or content
Data Scraping: Automated extraction of data from the Platform

The acceptable use rules above form part of these Terms of Service.

06Intellectual Property Rights

6.1Our Intellectual Property

LernaSync retains all rights to:

  • The Platform software and source code
  • LernaSync trademarks, logos, and branding
  • Platform design and user interface
  • Documentation and training materials

You may not:

  • Copy, modify, or reverse engineer the Platform
  • Use our trademarks without permission
  • Create derivative works from our Platform

6.2Your Content

You retain ownership of content you upload to LernaSync (assignments, messages, files).

By uploading content, you grant us a license to:

  • Store and display your content on the Platform
  • Process your content to provide our services
  • Make backups for security purposes

This license ends when you delete your content or close your account.

6.3User-Generated Content

You are responsible for your content. You warrant that:

  • You own or have rights to upload the content
  • Your content doesn't violate any laws or third-party rights
  • Your content is accurate (for educational submissions)

We may remove content that violates these Terms or is reported as inappropriate.

07Privacy and Data Protection

7.1Data Processing

We process your personal data in accordance with:

  • UK General Data Protection Regulation (UK GDPR)
  • Data Protection Act 2018
  • Our Privacy Policy (UK)

7.2Your Data Rights

Under UK law, you have the right to:

  • Access your personal data
  • Correct inaccurate data
  • Request deletion of your data
  • Object to certain processing
  • Data portability
  • Lodge a complaint with the ICO

7.3Children's Privacy

For users under 13:

  • Parents can access and manage their children's data
  • We collect only necessary educational data
  • Children's data is never used for marketing
  • Enhanced security protections apply

08Payment Terms (If Applicable)

8.1Subscription Fees

If your Organization has a paid subscription:

  • Fees are as agreed in your subscription plan
  • Payment is due according to your billing cycle
  • Prices may change with 30 days' notice

8.2Refunds

Refunds are provided according to your subscription agreement. Contact billing@lernasync.com for refund requests.

8.3Late Payment

Late payment may result in:

  • Account suspension
  • Loss of access to the Platform
  • Late payment fees (if specified in your agreement)

09Service Availability and Modifications

9.1Service Availability

We strive to maintain 99.9% uptime, but we cannot guarantee uninterrupted service.

The Platform may be unavailable due to:

  • Scheduled maintenance (we'll provide notice)
  • Emergency maintenance
  • Factors beyond our control (internet outages, hosting issues)

9.2Service Modifications

We may:

  • Add new features or functionality
  • Modify existing features
  • Discontinue features with reasonable notice

We will notify you of significant changes that affect your use of the Platform.

10Limitation of Liability

10.1Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY UK LAW:

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied.

We do not warrant that:

  • The Platform will be error-free or uninterrupted
  • Defects will be corrected
  • The Platform is free from viruses or harmful components

10.2Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY UK LAW:

We shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Damages arising from your use or inability to use the Platform

Our total liability shall not exceed the amount you paid us in the 12 months before the claim, or £100, whichever is greater.

10.3Exceptions

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded under UK law

11Indemnification

You agree to indemnify and hold harmless LernaSync from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Your content uploaded to the Platform
  • Your use of the Platform

12Dispute Resolution

12.1Governing Law

These Terms are governed by the laws of England and Wales.

12.2Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

12.3Informal Resolution

Before initiating legal proceedings, please contact us at legal@lernasync.com to attempt to resolve the dispute informally.

13Safeguarding and Child Protection

13.1Safeguarding Commitment

We are committed to safeguarding children and young people using our Platform.

13.2Reporting Concerns

If you have safeguarding concerns about a user, report immediately to:

  • Your Organization's designated safeguarding lead
  • Our safeguarding team: safeguarding@lernasync.com
  • Emergency services (999) if a child is in immediate danger

13.3Cooperation with Authorities

We will cooperate with law enforcement and child protection authorities when required.

14Accessibility

We are committed to making LernaSync accessible to all users in accordance with the Equality Act 2010.

15Export Controls

You agree not to export or re-export the Platform in violation of UK export control laws.

16Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force.

17Entire Agreement

These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and LernaSync.

18No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

19Assignment

You may not transfer your rights under these Terms without our consent. We may transfer our rights to any successor or affiliate.
